SMT orders rose 87.8%. Why would ASMPT consider selling the business?
On October 26, 2026, Reuters reported that IDG Capital had emerged as a leading bidder for ASMPT's Surface Mount Technology (SMT) business. People familiar with the process discussed a possible valuation above $1 billion, with ASMPT reportedly seeking around $1.5 billion. No buyer, price or completed sale has been officially confirmed.
The apparent contradiction is in the company's results. First-half 2026 SMT bookings increased 87.8% year over year and revenue grew 53.1%, with AI server-board demand an important driver. The 87.8% figure, however, is the growth of the entire SMT segment, not a disclosed growth rate for AI-server-only equipment orders.
The question is not why ASMPT would dispose of a failing operation. It is whether a growing business necessarily creates more value inside its present owner than under a different capital and operating structure.
SMT and SEMI both benefit from AI, but serve different manufacturing stages
ASMPT's two principal operating segments are Semiconductor Solutions (SEMI) and SMT Solutions. SEMI supplies equipment for assembly and packaging of semiconductor devices, including thermo-compression bonding, die and wire bonding, and photonics. SMT supplies placement platforms such as SIPLACE, printing systems such as DEK, manufacturing software and service for assembling electronic components onto circuit boards.
AI systems need both advanced semiconductor packages and electronic boards capable of integrating those chips with power, connectors and control components. The customer problem at chip-bonding precision is different from placing many components on large AI server boards.
The two segments may therefore require different engineering skills, development cycles, customers, service coverage and capital investments despite benefiting from the same infrastructure spending cycle.
SMT accounted for 54.8% of the group's first-half bookings
ASMPT's official first-half report recorded HK$6,984.6 million of SMT bookings and HK$3,867.0 million of SMT revenue. SEMI bookings were HK$5,769.3 million and SEMI revenue HK$5,035.6 million. Total group bookings were HK$12,753.8 million, with rounding differences at the individual segment level.
SMT bookings grew 87.8% and SMT revenue 53.1% from a year earlier. SEMI bookings also rose 81.9% and revenue 35.3%. SMT's share of new group bookings was approximately 54.8%, while its share of group revenue was approximately 43.4%. Those are different measures.
New orders are evidence of customer demand, not immediately recognized revenue or free cash flow. A company evaluating its portfolio must consider delivery, customer qualification, margins and the investment required to turn orders into cash.
SMT book-to-bill was about 1.81 — strong demand is not pure profit
Dividing reported first-half bookings by revenue gives an indicative book-to-bill ratio of approximately 1.81 for SMT, versus approximately 1.15 for SEMI. This indicates much stronger order intake relative to shipments in the SMT segment over that particular period.
But the ratio is not the same as the increase in reported backlog or the operating margin. Changes in delivery timing, cancellations, exchange rates and order terms can affect the path from booking to recognized sales.
In its June company update, ASMPT SMT described larger AI server boards carrying heavy, large-format components alongside highly miniaturized parts. Precision, process stability and local service capacity are operational constraints. Strong orders can require additional spending on production, logistics, engineering and field support.
A 7.1-point margin gap changes the portfolio question
The first-half adjusted gross margin was 34.2% for SMT and 46.5% for SEMI, a 12.3 percentage-point difference. Their adjusted segment profit margins were 11.0% and 18.1% respectively, 7.1 points apart. These are company-defined non-HKFRS measures, not consolidated statutory net profit margins.
This does not make SMT an underperformer. Its adjusted segment profit improved sharply year on year as revenue and operating leverage recovered. Margins can fluctuate with product mix, capacity use, overhead and pricing.
But management can reasonably ask whether the next dollar of capital and engineering attention earns a higher risk-adjusted return in SMT production expansion or in SEMI's advanced-packaging technologies. Growth rate and incremental return on capital are not interchangeable.
The strategic review began before the bookings boom was reported
ASMPT announced its review of SMT strategic options on January 21, 2026, before first-half orders could be known. The company listed potential divestiture, joint venture, spin-off and public listing, while explicitly retaining the option of keeping and supporting SMT inside the group.
Management said the review was intended to support SMT's long-term success while allowing greater focus on its growing SEMI segment. It would be inaccurate to report that ASMPT decided to sell only after observing the 87.8% order increase.
Reuters' October 26 account of possible bidders is sourced to people familiar with the matter. It remains negotiation reporting rather than an ASMPT announcement that the company has executed a sale agreement.
NEXX was sold — but SMT is not yet the same kind of transaction
ASMPT completed the disposal of its NEXX operation on June 3, 2026. NEXX had been part of the SEMI segment, and the 2026 interim report classified it as a discontinued operation with separate financial information.
That history rules out a simplistic explanation that ASMPT intends to retain everything classified as SEMI while eliminating everything in SMT. Corporate fit and future allocation of research capital can differ even within the same broad segment.
The completed NEXX deal does not establish what will happen to SMT. There has been no official completion announcement, disclosed final consideration or confirmed employment restructuring for SMT as of this article's October 27 publication date.
The strongest counterargument: advanced packaging includes SMT technology
ASMPT reported approximately $339 million of first-half 2026 advanced-packaging revenue, up 17% year on year and accounting for about 30% of group revenue. Its report explicitly lists thermo-compression bonding, photonics and high-precision SMT as major contributors to that advanced-packaging portfolio.
SMT is therefore a distinct reporting segment but not technologically irrelevant to the growth opportunities that ASMPT emphasizes. Chip packages and high-performance AI boards involve different processes, yet common customers, engineering knowledge and integrated services may create synergies.
Separating SMT might enable sharper management and capital allocation, but it could also raise the cost of shared research, customer coverage, integration and technical support. Neither the value of these synergies nor the eventual separation terms have been published.
TCB and photonics provide a competing use of investment capital
In July 2026 ASMPT reported new orders for more than 50 chip-to-substrate thermo-compression bonding systems. These tools address the increasingly demanding alignment and bonding processes in advanced logic packaging. The pace of future tool purchases depends on customer technology qualification and product cycles.
Photonics is also contributing measurable sales: the SEMI segment's pluggable high-speed optical transceiver solutions generated roughly $75 million in first-half 2026 revenue, nearly tripling from the preceding year. Demand for 800G-and-above transmission and integration of electronics with optics supports this business.
These prospects help explain why a management team might value greater focus on SEMI. They do not prove that selling SMT would create more value than keeping a segment with strong bookings and operating leverage.
Would $1 billion to $1.5 billion be an attractive sale price?
Reuters cited an expected valuation above $1 billion and a reported ASMPT target around $1.5 billion, while noting that potential buyers might bid below that target. IDG Capital, FountainVest Partners and Triton Partners were among the parties mentioned. These figures are not binding contractual terms.
SMT generated about $494.4 million in first-half revenue. Simply doubling that number gives about $988.8 million, and $1.5 billion would be roughly 1.5 times that naive annualization. But first-half revenue multiplied by two is not a forecast and ignores order timing and seasonality.
Any transaction's economics depend on future cash flow, cash and debt transferred, working capital, intellectual property, service contracts, and the costs of separating the business. The value to ASMPT shareholders also depends on how the proceeds might be reinvested.
Divestiture separates skills, software and customer relationships, not only factories
SMT's SIPLACE and DEK products come with engineering, control software, field support, distribution and service networks. An independent owner would need continuity in these functions, not simply legal title to manufacturing equipment.
If technologies or customer relationships are shared with SEMI, an agreement would need to allocate intellectual property, shared systems, engineering responsibilities, contracts and access to necessary data. Retaining technical specialists and experienced service teams may affect the value a buyer can actually deliver.
No confirmed SMT layoff plan or employee-transfer figure has been disclosed. These are operational questions raised by the possibility of separation, not reported personnel actions.
The October 28 earnings release is the next test — not a confirmed deal
ASMPT scheduled its third-quarter 2026 results for October 28, around 7 a.m. Hong Kong time, according to its October 6 notice. As of October 27, those quarterly numbers and any new management discussion had not yet been released.
The next evidence to seek is how fast SMT bookings convert into sales, whether the margin spread between SMT and SEMI persists, and whether the company provides any confirmed update on the strategic review. Reported bids must still be distinguished from a signed or closed transaction.
The corporate-strategy test has four parts: the cash flows the business could generate if retained, customer and technology synergies potentially lost by a split, the return from reinvesting sale proceeds, and continuity of the talent and delivery system that makes the business valuable.
BANSEOG VIEW
BANSEOG VIEW | Does a company have to own every business that is growing?
SMT generated roughly 55% of ASMPT's first-half bookings, with year-on-year growth of 87.8%. It also had a lower adjusted segment margin than SEMI and faces different development and service needs. Growth alone cannot answer whether the current owner is the optimal steward.
Separation might allow both businesses to allocate capital and managerial attention more effectively. But ASMPT's advanced-packaging portfolio explicitly includes high-precision SMT, so potential customer, technical and delivery synergies must be evaluated before assuming that a sale unlocks value.
The relevant comparison is the cash flow a business could generate if retained, the value of capabilities lost on separation and the risk-adjusted return from reinvesting proceeds. ASMPT has not completed or officially confirmed an SMT sale as of October 27.

Prepared October 27, 2026. SMT +87.8% is growth in all SMT bookings, not growth specific to AI-server boards. SMT revenue +53.1% is also segment-wide. Booking share 54.8% and illustrative book-to-bill 1.81 are calculations from filing data. 11.0% and 18.1% are non-HKFRS adjusted segment profit margins, not statutory net margins. The review was officially announced in January; Reuters' Oct 26 IDG and $1B-$1.5B figures are unconfirmed anonymous-source reporting. NEXX's June 3 completed divestiture is a separate transaction. Potential loss of SMT/SEMI synergies is a conditional analysis, not a quantified impact. Q3 results scheduled Oct 28 remain unpublished at the article date.
